Rodman & Rodman’s Kathy Parker Cites Challenges of Tax Incentive Complexities at Massachusetts Solar Summit 2012

“While IRS Section 1603 Tax credits, combined with Solar Renewable Energy Credits (SRECS), created a boom in the Massachusetts Solar Industry, many solar companies are sitting on an inventory of solar panels and other materials for projects that have not begun construction by the end of the 2011 eligibility period,” Kathy Parker, CPA told a standing room only audience at the 2012 Solar Summit in Marlborough, MA, on June 13, 2012. Parker is a Partner at Rodman & Rodman, P.C, and a member of the accounting firm’s “Green Team” Renewable Energy and Cleantech Practice.

“Although the 1603 tax code provides ‘Safe Harbor’ provisions, qualifying for this protection can be a tricky process” said Parker. “Much of the tax code is vague, and qualification will depend on how materials purchases were accounted for and assigned to specific projects,” explained Parker. “Qualification is often based on subjective decisions by IRS examiners”, noted fellow “Financial Side Panel” member Craig Huntley, Principal at Solect Energy, a major Massachusetts-based solar developer.

Parker went on to explain that as 1603 grants expire and solar projects begin to get larger, financing will become more complicated. Where smaller projects were often financed by individuals and S Corporations with passive income that could take advantage of tax credits, it will become a challenge to find investors with enough of a tax appetite to invest in larger projects. Project and partner structuring to take advantage of tax incentives will become increasingly important, noted Parker.

“Commercial lenders are becoming more comfortable evaluating solar projects as reasonable risks, but as projects get bigger they become more complicated as the number of products and participants grows,” noted David Costello, Senior VP – Commercial Lending at Commerce Bank & Trust Company. “Banks will demand full disclosure on all parties involved in a project,” said Costello.

Panel moderator, Vincent Devito, Partner at law firm Bowditch & Dewey, explained that the solar industry in Massachusetts remains vibrant, but the industry will continue to rely on state and federal subsidies to attract investors. “These subsidies provide accelerated payback that can be as short as three years,” said Devito.

Summit keynote speaker, Ann Berwick, Chair – MA Department of Public Utilities, pegged present installed solar power capacity at 110 MW, citing state goals to bring capacity to 250 MW by 2017 and 400 MW by 2020.

Rodman & Rodman CPAs Outline Proposed Changes in Biomass Efficiency Rates for Renewable Energy Credits Qualification

The Massachusetts Department of Energy Resources (DOER) recently sent a finalized proposal of changes to the standards for biomass efficiency in the state. Rodman & Rodman, P.C. an independent accounting firm specializing in renewable energy projects with offices in Braintree and Newton, MA, outlines the proposed changes in biomass efficiency rates for REC qualification.

The original proposal called for a reduction in Renewable Energy Credits to be awarded by half for systems that were operating between 40 percent and 60 percent efficiency. The finalized proposal calls for a half credit to be awarded for systems operating between 50 percent and 60 percent efficiency. Systems operating below 50 percent would not qualify for the credit.

According to Steve Rodman, CPA, MST, President of Rodman & Rodman, “Biomass systems have been highly discussed since their initial use as to whether or not they are actually ‘renewable’. Some argue that the carbon released when burning woody materials in the system is the same as the carbon released when burning coal or other fossil fuels. Others argue that the carbon is being recaptured by the existing forests, and that the trees that are burned are replaced much faster than sources of coal and fossil fuels, making them a renewable source.”

He continued, “This is a major statement by the MA DOER. By requiring biomass systems to operate at 60 percent efficiency in order to qualify for the full credit, the DOER is establishing the need for these systems to be able to operate at a level that will hopefully reduce the amount of carbon that is re-released back into the atmosphere.”

Rodman stated that it would be a challenge for biomass projects that are getting started. They will need to get to at least 50 percent efficiency right away in order to see any credits. This will require biomass projects to take more time in the design and testing stages to ensure they comply with the efficiency requirements before going live.

The MA DOER is taking comments on this finalized proposal until mid-June, so there is a chance that these regulations may still be subject to change until they are fully enacted.

Rodman & Rodman, P.C. partners participated in “A Walk Home: The Walk for Adoption” last weekend to raise awareness and funds for the Massachusetts Adoption Resource Exchange (MARE) and its work to recruit adoptive parents for children and teens in state foster care. How Safe is Your Safe Harbor? Rodman & Rodman CPAs Pose 10 Key Questions

Section “1603” of the American Recovery and Reinvestment Act of 2009 expired at the end of 2011. Under the terms of 1603, renewable energy companies could qualify for grants in lieu of Investment Tax Credit (ITC) for projects where construction began in 2009, 2010, or 2011 and placed in service before the credit termination date (year-end 2011).

The Green Team at Rodman & Rodman, P.C. has worked closely with attorneys, developers and experts to make sure projects are safe harbor. Serving clients throughout the U.S. at their Braintree and Newton, MA offices, Rodman & Rodman are an independent accounting firm specializing in renewable energy projects.

Treasury Department guidelines provided two ways for the grant applicant to “begin construction.” One way was to begin significant physical work. The second way is a “Safe Harbor” provision for applicants that paid or incurred more than five percent of the total cost of the project in 2011.

According to Kathy Parker, CPA, MST, Partner, “As of December 31, 2011, the deadline for the 1603 Grant and the required five percent safe harbor came to an end. Many developers who are beginning projects are still questioning whether they are really safe harbor protected. While the Treasury had a list of frequently asked questions, many of the answers were vague and left room for considerable interpretation.”

Parker outlines 10 questions for developers that help in determining whether or not they are safe harbor protected.

1) Did you have a legal binding contract by December 31, 2011?

2) Did you pay or incur five percent of the total eligible cost of the project before December 31, 2011? (Remember not all costs are eligible for the 1603 grant. It is important you safe harbored the correct cost.)

3) Was part of the cost incurred for the safe harbor “soft cost”, if so, how much? The Treasury is reviewing “soft cost” very carefully. Did you have “hard cost” as well?

4) Are there related parties involved in the transaction? Was the transaction done at “arms-length”?

5) Accounting method: Are you an accrual or cash basis taxpayer for income tax purposes? Did you pay the cost as of December 31, 2011 or did you incur them? Did you follow the guideline based on your accounting method?

6) Title transfer: Did you receive title of equipment within three and a half months of payment date?

7) Was the entity that purchased the equipment created before December 31, 2011, or are you contributing the assets to an entity after December 31, 2011? Was your entity setup correctly? Treasury will look carefully at ownership structure.

8) How is the project funded? Debt? Grants? Other?

9) When will your project be placed in service?

10) If the cost basis is more than $500,000 you will need an independent accountant to certify the cost. If the requesting payment is greater than $1 million you will need an independent accountant’s examination opinion attesting to the accuracy of the cost claimed as part of the basis of the property. Do you have an accounting firm that specializes in 1603? Are they independent?

Parker continued, “1603 plays a significant role in current green projects. It is important to follow the Treasury guidelines as all 1603 applications will be carefully scrutinized by the Treasury. Applications that are well organized will ensure that the process goes smoothly.”

For the second consecutive year, Rodman & Rodman, P.C. , providers of accounting, tax and business services to small and medium-sized companies throughout New England, was recently named as one of the 2011 Best Accounting Firms to Work for. The annual list of “Best Accounting Firms” was created by Accounting Today and Best Companies Group.

This survey and award program was designed to identify, recognize and honor the best places of employment in the accounting industry, benefiting the nation’s economy, its workforce and businesses. The Best Accounting Firms to Work for list is made up of a total of 100 companies. Rodman & Rodman has been named one of the Best Accounting Firms to Work for in the small sized company category.

Accounting firms from across the country entered the two-part survey process to determine the Best Accounting Firms to Work for. The first part consisted of evaluating each nominated firm’s workplace policies, practices, philosophy, systems and demographics. The second part consisted of an employee survey to measure the employee experience. The combined scores determined the top firms and the final ranking. Best Companies Group managed the overall registration, survey and analysis process and determined the final rankings.

NECA is a 900 member strong, non-profit trade association serving the electric power industry. It has eight standing committees and the Renewables and Distributed Generation committee is dedicated to increasing awareness of the benefits of renewable/clean energy and to facilitating growth of the industry in the Northeast.
